TERMS & CONDITIONS OF SALE

Online Auction of Surplus Equipment from a Personal Care Products Manufacturer. Bidding is scheduled to open on October 1st, 2013. Lots will close in consecutive order beginning October 24th, 2013 at 11:00 a.m. EST. A 12% Buyer`s Premium and applicable sales taxes (8.13% NY, 6.0% PA) will be applied to each purchase. Cash, Wire Transfer, Credit (Visa, MasterCard, and Discover), & Company Check with Bank Letter will be accepted for payment. Please direct all questions to ATEC at (314) 447-3200. IT IS IMPORTANT THAT YOU PRINT AND CAREFULLY READ THE DETAIL THAT FOLLOWS:

1. REGISTRATION
All bidders must register for the sale providing name (& business if applicable), address, and reliable contact phone number. By registering the bidder acknowledges that they have read, accept, and submit to abide by the terms set forth in this document. It is the registrant’s responsibility to seek clarification of any condition or term not clearly understood or left undefined within this document.

ALL INTERNATIONAL BIDDERS MUST SUBMIT A $1,000 FULLY REFUNDABLE DEPOSIT IN ORDER TO BID IN THIS SALE. THIS AMOUNT WILL BE APPLIED TOWARDS THE PURCHASE OF ANY LOTS OR REFUNDED IN THE EVENT THAT THE BIDDER DOES NOT WIN ANY BIDS.

2. INSPECTION
The majority of Items can be inspected at 200 Skyline Drive in Port Jervis, New York on Tuesday, October 22st, 2013 from 9:00 a.m. to 3:00 p.m. BY APPOINTMENT ONLY. Additional inspections may be scheduled with ATEC by appointment only, with a minimum 48 hour notice. Inspection for items located in the Scranton, PA area will take place on Wednesday, October 23rd, BY APPOINTMENT ONLY. Call our office at 314-447-3200 to schedule appointments to inspect these items.

3. BIDDING
All bidders must be registered to participate in this sale. A 12% Buyers Premium will be added to the sale price of each item sold. Sales tax in the amount of 8.13% (For NY Location Purchases) or 6.0% (For PA Location Purchases) Per Item, will be added to the purchase price unless the buyer is tax exempt. Placing a bid acknowledges that the bidder has read, accepted, and submits to abide by the terms set forth in this document. Placing a bid also signifies a contractual intent to purchase at the specified bid amount and cannot be rescinded.

4. PAYMENT
Payment is due in full by Monday, October 28th, 2013, 2 p.m. Eastern Time. ATEC accepts Wire Transfer, Credit Card (Visa, MasterCard, and Discover), & Company Check with Bank Letter. All checks should be made payable to ATEC, INC (1188 Walters Way Lane, Olivette, MO 63132). A 12% Buyers Premium and 8.13% or 6.0% sales tax will be added to the sale price of each item sold. Tax exempt buyers must provide, via email, a sales tax exemption certificate or supporting documentation to ATEC at time of registration.

All winning bidders will be notified via email immediately following the sale with an invoice to follow. If you receive notification that you are the successful Bidder, but do not receive an invoice from ATEC by Friday October 25th, 2013 at 10:00 a.m., it is YOUR RESPONSIBILITY to notify our office at (314) 447-3200 so that we may re-issue your invoice. Payment in full must be received prior to the removal of any purchased item. Any unpaid purchases will be considered abandoned and re-sold at the auctioneer’s discretion.

5. REMOVAL – EXTREMELY IMPORTANT
ALL REMOVAL WILL TAKE PLACE BY APPOINTMENT ONLY. To schedule removal of your items please contact our office at 314-447-3200. Removal is the sole responsibility of the buyer. THE AUCTIONEER IS NOT RESPONSIBLE FOR PREPARING ITEMS FOR REMOVAL, however all items will be disconnected and brought to the appropriate loading dock as a courtesy to the buyers. The only exception is Lot #100, the Lee Vacuum Kettle which will require the buyer to hire a licensed and insured professional rigger. No Items will be released until that item has been paid for in full and a copy of the paid invoice is presented to an ATEC representative on site.

Removal of most items will take place at 200 Skyline Drive, Port Jervis, New York, BY APPOINTMENT ONLY. Removal period will range from Monday October 28th, through Friday, November 8th, 2013 BY APPOINTMENT ONLY. Removal for items in Pennsylvania will also be permitted for the same date ranges and scheduled by appointment only. Call ATEC at 314-447-3200 to schedule a removal time.
Removal will take place during the work week and will not be permitted on weekends. If additional time is required in order to remove your purchases, please contact ATEC to make arrangements for an extension by Wednesday October 30th.

ALL BUYERS MUST CONTACT ATEC BY WEDNESDAY OCTOBER 30TH TO DISCUSS THEIR PLANS FOR REMOVAL.

If you employ someone to remove your purchases, they must provide a copy of the paid invoice to our representatives on site. All riggers/movers MUST provide proof of insurance to ATEC prior to dismantling or moving any items in the facility. NO ITEM WILL BE REMOVED WITHOUT PROOF OF PURCHASE AND PAYMENT – NO EXCEPTIONS! All items must be removed by Friday, November 8th, 2013 at 4:00 p.m. Any items not removed by this deadline will be considered abandoned.

ONE SPECIFIC ITEM (LOT# 100) requires professional rigging for removal. This has been indicated in the lot description.

6. MERCHANDISE
All items are being sold AS IS/WHERE IS without warranty or guarantee of any kind expressed or implied. Neither the auctioneer nor the seller shall be responsible for discrepancy in description or nomenclature. The auctioneer does not own any of the items in the sale and is working on behalf of the seller. The auctioneer reserves the right to remove on behalf of the seller any items identified by the seller to have a clear defect or legal encumbrance not initially known and identified at the time of posting. Neither the auctioneer nor the seller shall be held responsible for any issues related to the safe handling and transport of equipment purchased, as removal is the responsibility of the buyer.
