NOTICE:
All Bidders and other persons attending this sale agree that they have read and have full knowledge of these terms and agree to be bound thereby.

A 15% BUYERS PREMIUM WILL BE CHARGED ON ALL ITEMS SOLD.

REGISTRATION ? D & D Industries, Inc., at its sole discretion, may deny registration to any person or entity. All Bidders must be registered and approved no more than 48 hours prior to the start of the auction. A VALID CREDIT CARD WILL BE REQUIRED FOR REGISTRATION (no charge to your credit card) BUT WILL NOT BE ALLOWED FOR PAYMENT OF ASSETS.

IDENTIFICATION - All bidders are required to give their full name and address at time of registration. No PO Boxes will be accepted.

DEPOSITS ? Overseas buyers must submit a refundable deposit of $5000 US dollars to be approved to bid.

TIME OF PAYMENT - Invoices will be emailed within 24 hours of the auction end date. All invoices must be paid with 48 hours of the sales conclusion. Any other arrangements must be made with D & D Industries, Inc. prior to bidding. If not, the merchandise will be deemed abandoned and Buyer will lose any right, title or interest Buyer may have acquired and the merchandise shall revert and repossess to D & D Industries, Inc. without further notice to Buyer and the transaction shall be null and void at to Buyer.

MANNER OF PAYMENT ? All payments must be made by cash, cashier?s check, wire transfer or company check with a bank letter of authorization guaranteeing funds to D & D Industries, Inc. All checks shall be payable to the order of D & D Industries, Inc. The full purchase price on all lots sold to the same Buyer must be paid within the time fixed and before removal of any goods.

INSPECTION ? Inspection of auction items may be conducted ONLY on October 17th 2012 from 9:00 a.m. to 3:00 p.m. Eastern time at 1669-301 West 130th Street, Hinckley, Ohio 44233. D & D Industries, Inc. encourages the Buyer to make inspections prior to bidding and/or purchasing.

RISK TO PERSON AND PROPERTY ? Persons attending during inspection or removal of goods assume all risks of damage or loss to person and property and specifically release D & D Industries, Inc. from liability therefor. D & D Industries, Inc. shall not be liable by reason of any defect in or condition of the premises on which the sale is held.

CONDITION OF ARTICLES SOLD ? D & D Industries, Inc. shall not be responsible for the correct description, genuineness, authenticity of or defect in any lot, and makes no warranty in connection therewith. No sale will be set aside nor allowance made on account of any incorrectness, cataloguing or any imperfection not noted. No deduction allowed on damaged articles, all goods being purchased and accepted by Buyer ?AS IS?, ?WHERE IS?, and ?WITH ALL FAULTS?. D & D Industries, Inc. makes no warranties or guarantees whatsoever whether written, oral or implied as to quality, durability, capability, function, quantity, condition, usability, salability, weight, measurement, year, model, mechanical condition, value, suitability for any use, performance or other specifications and without recourse. D & D Industries, Inc. expressly and specifically disclaim, without limitation, any warranty of merchantability or fitness for a particular purpose. Buyers are bidding on items listed in the Catalog Lot Descriptions and not all items shown in the photographs.

PURCHASER?S RESPONSIBILITY AND INDEMNITY - The Purchaser is warned and acknowledges that it must contact the original manufacturer to obtain up-to-date installation and operation manuals and other information to ensure the safe installation and operation of the goods sold. It shall be Purchaser?s responsibility to ensure that any goods purchased from Seller are installed and operated in a proper and safe manner. The Purchaser also acknowledges that it may have to install or change guards, safeties, warnings or other components to ensure that the goods or machines will conform to all laws, regulations, ordinances, codes, insurance requirements and industry standards. Purchaser expressly agrees as a condition of its purchase of the goods that it will indemnify and hold Seller harmless from any and all claims that may hereafter at any time be asserted by any subsequent owner or user of the goods sold hereunder or asserted by any agent or employee of such user or by any third party arising from any purported defect in the goods or by reason of the use of these goods. Purchaser agrees to defend, indemnify and hold harmless Seller from and against all suits, claims, costs, damages and expenses, including but not limited to, reasonable attorneys? fees, arising out of, or in connection with, the transportation, purchase, ownership, or use of the goods sold hereunder.

CLAIMS ? No claims will be allowed after removal of goods from premises.

RESPONSIBILITY FOR NON-DELIVERY ? D & D Industries, Inc. shall not, in any event, be liable for non-delivery or for any other matter or thing, to any Buyer of any lot, other than for the return to the Buyer of the sum paid on said lot, should the Buyer be entitled thereto.

COMPLIANCE WITH TERMS OF SALE ? In default of payment of bills in full within the time therein specified, D & D Industries, Inc. in addition to all other remedies allowed by law, may retain all monies received as deposit or otherwise, as liquidated damages. Lots not paid for and removed within the time allowed herein may be resold at public or private sale without further notice, and any deficiency, together with all expenses and charges of re-sale, will be charged to the defaulting purchaser.

REMOVAL ? Purchases may be removed only on presentation of a paid bill. Removal shall be at the expense, risk and liability of the Purchaser. D & D Industries, Inc. shall not be responsible for goods not removed within the time allowed. For items with rigging requirements, all pickups must be made by appointment.

SHIPPING ? All coolants, oil and fluids must be drained from all machinery and equipment prior to removal. All of the above must be shipped in compliance with state and federal regulations.

SALES TAX ? All sales are subject to state and local taxes, unless a proper exemption certificate including tax exempt number is presented at the time of payment.
