TERMS AND CONDITIONS OF SALE AND FOR PARTICIPATION IN AUCTION

1. This is a Binding Agreement. By Registering for this auction you and your agent (“Bidder”) agree that you are familiar with and agree to be legally bound by these Terms and Conditions of Sale and for Participation in Auction. If you do not agree to these Terms and Conditions of Sale and for Participation of Auction, please do not register and DO NOT BID.

 

2. The Property is Sold AS IS and WITHOUT ANY WARRANTIES Ed Dunn Auctions & Appraisers Inc. (“Auctioneer”), which is acting as an agent of each of the owners of the items and lots (“Seller”), is not responsible for acts or omissions of Seller or any of Seller’s principals, officers, directors, employees or other agents. Auctioneer shall not be responsible for the correct description, authenticity, genuineness of, or any defect in, any item or lot, and makes no warranty in connection therewith. No allowances will be made or sale set aside on account of any incorrectness, error in cataloguing, or any other imperfection not noted. No deduction will be allowed for damaged items as all property being exposed for public exhibition are sold "AS IS, WHERE IS, AND WITHOUT RECOURSE", and with no warranties, guarantees or representations of any kind, whether expressed, written, implied or otherwise. This provision shall remain in full force and effect regardless of any oral statements made prior, during, or after the auction, and shall only be modified in writing. Bidder is instead strongly urged and agrees to make and rely solely on their own inspection of the items and lots prior to bidding.

 

3. You will be Liable for Unlawful or Damaging Conduct. Auctioneer will receive bids from registered Bidders who make their bids known and who conduct themselves in an orderly manner. Any person who bids in bad faith, is drunken, orate in a boisterous, loud or otherwise disturbing or disorderly manner disruptive the sale will not be permitted to bid, will be required to leave the sale premises or the premises on which the items and lots are located (the “Premises”), and will be held liable to Seller and Auctioneer for any damages caused including, without limitation, defamation, slander or trespass, and shall reimburse Seller and Auctioneer for all lawyer’s fees and expenses.

 

4. Sale Controlled by Auctioneer. If Auctioneer announces “Sold”, title to the item or lot (the “Goods”) will be transferred to the highest Bidder (“Buyer”) and the purchase price shall be the amount of the highest bid for the quantities described by the Auctioneer during the auction for the Goods.  Buyer thereupon assumes full risk and responsibility for the Goods, shall pay the full purchase price or such parts as Auctioneer may require, and shall sign a confirmation of purchase of the Goods. If a tie or dispute occurs between two or more Bidders, Auctioneer may re-open the bidding at their discretion and shall serve as the sole arbiter as to who may bid. Auctioneer reserves the right to group, add to, delete, withdraw, consolidate or break down lots and quantities offered and to sell out of scheduled sequence, and has the right to reject any bid which is only a fractional advance over the preceding bid, to regulate bidding, and to accept or reject any bids. Absentee bids may be accepted at the discretion of Auctioneer. All decisions of the Auctioneer regarding the order and conduct of the auction shall be final and absolute without liability to anyone. A Bidder’s Premium may or may not be charged on the items or lots, and Auctioneer will advise Bidders of a Bidder’s Premium at the start of the auction.

 

5. Payment. Payment for the Goods must be made the day of sale by BANK TRANSFER ONLY, plus an Admin fee of $30.00 in Canadian funds; or other special arrangements approved by the Auctioneer in their sole discretion. Payment shall include any applicable sales, excise, and transfer taxes and or money transfer fees of the purchase price. Upon payment in full and clearance of those funds, Auctioneer will provide Buyer with a Bill of Sale marked “clear to be released”. If Buyer fails to make any payment as provided herein, Auctioneer in addition to all other remedies allowed by law may retain all monies received as a deposit or otherwise as liquidated damages. All Goods not paid for within the time specified herein may be resold by Auctioneer at public or private sale without further notice. Any resulting deficiency, together with all expenses and costs of re-sale, will be the responsibility of Buyer. The failure or default by Buyer to comply fully with the terms and conditions herein will be treated as an immediate breach and any deposit or other payment that may have been made may be retained by Auctioneer and applied toward any deficit or additional costs or charges as incurred to effect the resale of the Goods at private or public sale. There shall be no further notice required to Buyer once a default has occurred. Buyer shall be liable for all costs incurred, plus any deficit arising, from Buyer’s default.

 

6. Removal of Personal Property; Delivery of Title and Possession. The removal of the Goods from the Premises shall be once they are paid in full and lo later than Wednesday unless other arrangements are made with the auctioneer; and at the sole expense, risk and liability of Buyer, and as directed by Seller or the owner of the Premises, and only on presentation of the original Bill of Sale marked “clear to be released”. If for any reason Buyer fails to remove any Goods as provided, Auctioneer may, at Buyer’s sole risk and expense, leave the Goods on the Premises, move the Goods to another site, otherwise store the Goods, cancel the sale retaining as liquidated damages all payments made by Buyer, or resell the Goods at public or private auction or by private sale. Buyer shall be liable to Auctioneer and Seller for any rent or expenses incurred and damages suffered, including loss from re-sale because of Buyer's failure to pay and/or timely remove any such item.Auctioneer shall not, in any event, be liable to bidder for non-removal of any Goods or any other matter whatsoever. The record of sale kept by the clerk will be taken as final in the event of any dispute as to the price or quantity offered.

 

7. You are on the Premises at Your Own Risk. Auctioneer, Seller, the owners of the Premises nor any of their respective principals, officers, directors, employees or agents (“Releasees”), shall be liable to any person for damages to their person or property while in, on or about the Premises for any reason, including hidden defects, dangers or conditions. Bidder and Bidder’s guests and agents are invited on the Premises by the invitation of Seller and the owner of the Premises. All persons are on the Premises at their own risk and shall defend, indemnify, and save harmless the Releasees from any and all liability whatsoever.
