1)	The Auctioneers sell as agents for the Vendors (whose names appear elsewhere in the catalogue) and accordingly the Auctioneers accept no personal liability under any contract made at or prior to the Auction.

2)	Subject to the following conditions the highest bidder shall be the Purchaser. The conduct of the sale shall be at the discretion of the Auctioneers and they maintain the right to refuse any bid at any time. The highest bid should not be considered successful until confirmed as such by the auctioneer. If any dispute of whatsoever nature shall arise, the decision of the Auctioneers shall be final and binding on all parties. No bid may be withdrawn after the fall of the hammer. The Vendor and the Auctioneers maintain the right to fix reserves on any lot or lots and of bidding themselves or by their agents and to alter, vary or withdraw any lot or lots before, during or immediately after the sale.

3)	The Purchaser shall immediately after the fall of the hammer declare his name and place of abode. As soon as practicable thereafter but in any event by the close of the Auction on the same day he shall pay a deposit of 25p in the Ł of the purchase money in part payment. If the Purchaser shall default in either of the requirements of this condition the lot may be put up again and resold.

4)	Payment in full must be made by BANKERS DRAFT or BANK TRANSFER within 2 days of the sale ending and in any case before the clearance of any of the lots purchased.

5)	The lots are sold 'as they lie' with all faults and errors or omissions of description or quantity or measurement (if any). IMPORTANT - The Purchaser is deemed to have inspected and approved of the lots he buys, and if he buys without previous inspection he shall be deemed to have done so at his own risk. It is believed that the quantities, description and measurements stated in this catalogue are correct but the Auctioneers will not be responsible for any error or mistake therein and the Purchaser shall not make any objection thereto or be entitled to any compensation by reason of any such error or mistake nor be entitled to rescind the contract after the fall of the hammer.  The Auctioneer does not warrant the Vendor's title to any lot and the latter will be sold with such title as the Vendor may have.

6)	All goods sold shall be the sole responsibility and at the risk of the Purchaser from the fall of the hammer. In no circumstances will the Auctioneers or the Vendors be held responsible if any lot or part thereof be lost, stolen, damaged or destroyed after the fall of the hammer. No claims will be accepted and the Vendors shall make no allowances whatsoever. Where the Vendors give assistance with lifting and/or towing in connection with the collection of goods such assistance is given entirely at the Purchasers risk.

7)	No lot or part thereof can be cleared until payment has been made in full. All lots must be cleared at the Purchasers expense. No lot shall be cleared without the authority of the Auctioneers and then only under the supervision of the Sale Porters, Purchasers have no right to anything not described in this catalogue. Lots can only be collected by the declared Buyer and no transfer of lots to any other purchaser will be recognised.

8)	If any Purchaser shall make default in payment of his purchase money or neglect to comply with these Conditions of Sale the money paid at the time of the sale shall become forfeited to the Vendors, who shall be at liberty to resell the lot or lots or any part thereof by public or private sale without giving previous notice to the Purchaser and any deficiency which may arise on such resale together with all expenses attending the same, shall be made good by the Purchaser. This condition shall apply notwithstanding that the Purchaser may express his willingness to pay for any lot or part of any lot after the fall of the hammer. A defaulting Purchaser shall not be entitled to any excess in price realised on resale.

9)	The Vendor and the Auctioneer hereby severally exclude liability for any accident or injury, howsoever arising, sustained by any person or persons who may come on to the Vendor's premises for any purpose whatsoever save where such accident or injury is caused by the negligence of the Vendor or Auctioneer.

10)	If any damage be done to the premises or any adjoining lots during viewing of the sale itself or by taking down or removal of any of the lots whether caused by the Purchaser, his agent, carrier or person employed by him such damage shall be made good by or at the expense of the Purchaser, and the Vendors, in addition, reserve their rights against any other persons causing or contributing to such damage.

11)	Flame cutting or the breaking up of castings will not be permitted without the consent of the Auctioneers and unless an adequate valid insurance policy is produced.

HEALTH AND SAFETY AT WORK ETC. ACT 1974

12)	It is expressly brought to the Bidder's attention that, at the time of sale, any item of plant, machinery or equipment contained in the lot(s) may not necessarily comply with the Health and Safety at Work Act 1974 or any other Act or Acts or Regulations thereunder governing the use of that plant, machinery or equipment in a working environment.

Successful Bidders for any such plant, machinery or equipment are hereby required to ensure that the use of any such at a place of work within the United Kingdom does not contravene such relevant Act or Regulation thereunder applicable thereto.

GVA GRIMLEY

CONDITIONS UNDER WHICH CATALOGUES ARE ISSUED

1.	All statements contained in the catalogue as to any lots are made without responsibility on the part of the Vendors or Auctioneers.

2.	All statements contained in the catalogue as to any lots are made as statements of opinion and are not to be taken as or implying statements or representations of fact as to the authenticity, attribution, genuineness, origin date, age period, condition or quality.

3.	Intending purchasers must satisfy themselves by inspection or otherwise as to all such matters and as to the physical condition and description of any lot.

4.	Neither the Vendor of any lot nor the Auctioneers make or give any persons in the employment of GVA Grimley any authority to make or give any representation or warranty in relation to any lot.

SPECIAL CONDITIONS AND NOTICES TO PURCHASERS

1.	All lots are sold exclusive of VAT.  VAT will be added where applicable at the appropriate rate.

2.	All lots to be removed at the purchasers expense in accordance with the conditions of sale.

CLEARANCE between 10.00 am and 4.00 pm, 16 November 2009 to 4 December 2009 - NO EXTENSION OF CLEARANCE ALLOWED UNDER ANY CIRCUMSTANCES.

Purchasers must provide their own lifting tackle, transport and loading staff, none are available on site.

3.	A non-negotiable Buyers Premium of 15% will be charged on all lots.

4.	Any damage caused to the buildings must be made good to the Auctioneers satisfaction.  All connected machinery is to be disconnected on the machine side of the isolator which must be left attached to the building. Method statements and risk assessments will be provided by purchasers or their removal contractors prior to removing lots, where this procedure is deemed necessary by the auctioneer.

5.	No removal of goods from site will be permitted until full and final payment is made.

Payment to be made only by:

a) Payment may be made by bank transfer (Bank details will be given to successful purchasers) or b) Bankers Draft

6.	The bidder is at risk once the hammer falls (i.e. once the online auction sale concludes) and is strongly advised to effect insurance at once.

7.	No lots to be transferred.

8.	All Bidders must register before they can participate in the online auction sale. Registration must be made 24 hours prior to participating in the online auction sale.

9.	Each buyer will be issued with a user name / paddle number when registering. Please ensure that you register your correct Company Name and Address. The details that you register will be the details adapted for your invoice.  Under no circumstances can these details be changed once you have registered. Under no circumstances will we re-invoice to other parties. The bidder’s registered details will be final.

10.	Purchasers are liable for all bids made against their user name / paddle number.  It is therefore essential that bidders keep their user names / paddle numbers confidential.

11.	Online bidding concludes at 12 noon BST 10 NOVEMBER 2009 and is subject to time extensions as per point 12 conditions, after which time all HIGHEST BIDS WILL BE CONSIDERED. ACCEPTANCE OF ALL THE FINAL BIDS ARE SUBJECT TO APPROVAL BY OUR CLIENT. GVA Grimley reserves the right to reject any bids which they feel do not reflect reasonable value.

12.	In the event of a bid being received within 10 minutes of the scheduled closure time, the bidding period on that lot will automatically extend by a further 10 minutes.

13.	Bidders should regularly “refresh” their screen by pressing F5 in order to view current bids.

14.	Following closure of the online auction sale, GVA Grimley will issue VAT invoices to successful purchasers. All accounts must be settled immediately thereafter and no later than 48 hours following the invoices being issued by email.

SPECIAL CONDITIONS – OVERSEAS PURCHASERS

Purchasers intending to buy equipment for the purpose of export must adhere to our special terms and conditions, to ensure that we are able to comply with regulation for Export and VAT.

All purchasers should ensure that they are able to satisfy all identification requirements for compliance of Money Laundering Regulations 2003.

At the Auctioneers discretion, Overseas bidders will be required to produce original documentation as follows:
•	Their passport(s)
•	One other method confirming their identity, i.e, driving licence, name, address, UK agent (if any), telephone and fax numbers.
•	Full details of their national bank and their UK corresponding bank.
•	Details from their bank confirming method of payment etc.

PAYMENT OF VAT, DOCUMENTATION REQUIREMENTS AND REFUNDS

ALL Purchasers INCLUDING EEC Registered Companies:

All non UK Purchasers will be charged VAT at the current rate on each item purchased, where applicable.  The VAT will be refunded in full upon satisfactory evidence of export from the UK.

Buyers Premium:
VAT is chargeable on the Buyers Premium, we are therefore unable to issue a refund for the VAT against this item in any circumstances.

All Purchasers:
In order to qualify for a refund of the VAT:
•	The goods must be exported within one month of the date of supply, and
•	valid evidence of export must be received by GVA Grimley LTD within one month of the date of export.
Original documentation only must be supplied, copies or faxed copies are not acceptable.
