TERMS & CONDITIONS OF SALE

ALL ITEMS ARE BEING PRESENTED FOR SALE AS IS, WHERE IS, WITH ALL FAULTS, WITHOUT WARRANTY OF ANY KIND EXPRESSED OR IMPLIED.  SALE SCHEDULED TO CLOSE THURSDAY, NOVEMBER 8TH, 2012 BEGINNING AT 11:00 AM (CENTRAL TIME), WITH LOTS CLOSING IN CONSECUTIVE ORDER. A 10% BUYERS PREMIUM/INTERNET FEE WILL APPLY TO EACH PURCHASE. CREDIT CARDS WILL NOT BE ACCEPTED FOR PAYMENT.

IT IS IMPORTANT THAT YOU PRINT AND CAREFULLY READ THE DETAIL THAT FOLLOWS:

1. REGISTRATION – All bidders must register for the sale providing name (& business if applicable), address, reliable contact phone number, email address, valid credit card number and bank information.   Credit Card information is only utilized to validate the registrant and will not be permitted as a method of payment.  Complete registration information is vital to being approved quickly for the sale. Incomplete registrations may not be approved and approval is at the discretion of ATEC.  By registering, the bidder acknowledges that the bidder has read, accepts, and agrees to abide by the terms set forth in this document.  It is the registrant’s responsibility to seek clarification of any condition or term not clearly understood or left undefined within this document.  No registrations will be accepted after 3pm Central Time on Wednesday, November 7th, 2012.

2. INSPECTION – Items can be inspected on site (Hermann, Missouri) Tuesday, November 6th and Wednesday, November 7th, 2012 from 9 A.M. to 3 P.M. (Central Time) Additional inspections by appointment only. No Inspection will be permitted on Thursday, November 8th, 2012.

3. BIDDING – All bidders must be registered to participate in this sale.  A 10% Buyers Premium/Internet Fee will be added to the sale price of each item sold.  Placing a bid acknowledges that the bidder has read, accepted, and agrees to abide by the terms set forth in this document.  Placing a bid also signifies a contractual intent to purchase at the specified bid amount and cannot be rescinded.  All items have been assigned a nominal starting bid and will be sold to the highest bidder above this opening price.

**EXTREMELY IMPORTANT: PRIOR TO BIDDING ON THE BREW HOUSE OR TANKS, CONTACT THE AUCTIONEER TO OBTAIN FURTHER DETAILS REGARDING THE TERMS AND CONDITIONS FOR THE REMOVAL OF THESE ITEMS. EACH BIDDER IS RESPONSIBLE TO BECOME FAMILIAR WITH THESE TERMS AND CONDITIONS AND TO CONFIRM IT UNDERSTANDS THEM**

4. PAYMENT – Invoices must be paid within 48 hours of receipt.  All winning bidders will be notified by email immediately following the sale with an invoice to follow.  If you receive notification that you are the successful bidder, but do not receive an invoice by Monday, November 12th, 2012 it is YOUR RESPONSIBILITY to notify our office at (314) 447-3200 so that we may re-issue your invoice.  ATEC accepts WIRE TRANSFER, COMPANY CHECK w/Bank Letter, & CASH.  NO CREDIT CARDS WILL BE ACCEPTED!  Wire transfer is the preferred method of payment and instructions will be included in all winning bidder emails.
  
All checks should be made payable to ATEC, INC.  A 10% Buyers Premium/Internet Fee will be added to the sale price of each item sold.  Payment in full must be received prior to the removal of any purchased item.  Any unpaid purchases will be re-sold at the seller’s discretion. Cash payments w/ exact change will be accepted on-site; ATEC will NOT be able to provide change for on-site payments.

5. REMOVAL – Removal is the sole responsibility of the buyer.  The auctioneer is not responsible for preparing items for shipping or removal.   No items will be released until that item has been paid for in full and a copy of the paid invoice is presented to an ATEC representative on site. All tanks will be drained before removal from the premises.  Removal of all items will take place BY APPOINTMENT ONLY from Monday, November 12th through Tuesday, November 20th, and Monday, November 26th through Friday, November 30th,  2012. 9:30 AM – 4:00 PM Central Time. Removal will not be allowed Wednesday (11/21) through Friday (11/23) of Thanksgiving week. Please note: Special procedures apply to the brew house removal.

IMPORTANT: ITEMS REQUIRING RIGGED REMOVAL, OR IN A MANNER THAT IMPACTS THE BUILDING, MUST BE REMOVED BY LICENSED AND INSURED PROFESSIONALS, PRE-AUTHORIZED BY ATEC IN COORDINATION WITH THE BUILDING OWNER. THIS EQUIPMENT IS HOUSED IN A REGISTERED HISTORIC BUILDING AND REMOVAL OF THE BREW HOUSE WILL REQUIRE SPECIAL PROCEDURES & EXPERTISE. PARTIES INTERESTED IN THE BREW HOUSE ARE ADVISED TO MAKE A PERSONAL INSPECTION ALONG WITH THEIR CONSTRUCTION PROFESSIONALS IN ORDER TO COMPLETELY UNDERSTAND THE REMOVAL CONSIDERATIONS.
 
ATEC requires pre-authorization of any and all construction professionals. All riggers/movers MUST provide proof of insurance and licensure as applicable to ATEC prior to dismantling or moving any items in the facility. If you employ someone to remove your purchases that party must provide a copy of the paid invoice to our representatives on site.  All riggers/movers MUST provide proof of insurance and licensure to ATEC prior to dismantling or moving any items in the facility.  NO ITEM WILL BE REMOVED WITHOUT PROOF OF PURCHASE AND PAYMENT – NO EXCEPTIONS!  All items (other than the Brew House, which is subject to special procedures) must be removed by Friday, November 30th at 3pm Central.  Any items not removed by this deadline will be considered abandoned.  If you anticipate a problem with meeting this deadline you must communicate with ATEC prior to bidding.

6.  MERCHANDISE – All items are being sold AS IS/WHERE IS without warranty or guarantee of any kind expressed or implied.  Neither the auctioneer nor the seller shall be responsible for discrepancy in description or nomenclature.  The auctioneer does not own any of the items in the sale and is working on behalf of the seller.  The auctioneer reserves the right to remove on behalf of the seller any items identified by the seller to have a clear defect or legal encumbrance not initially known and identified at the time of posting.  Neither the auctioneer nor the seller shall be held responsible for any issues related to the safe handling and transport of equipment purchased, as removal is the responsibility of the buyer.  The items you are bidding on do not extend to ANY fixed item that can be considered part of the building – this specifically addresses machinery which may hard connect into electrical transformers.  We suggest that you personally inspect or employ someone to inspect the items prior to placing bids.

Notice is hereby given pursuant to Article 9 the Uniform Commercial Code that Ellen Dierberg Milne (also known as Ellen Dierberg), a secured creditor, acting through ATEC, Inc., intends to offer for sale at public auction to the highest qualified bidder(s), the furniture, fixtures and equipment of Tin Mill Brewing Company, LLC.

The sale will be conducted via the internet through BidSpotter. The auction will open on-line and become live commencing October 15, 2012, beginning at 11 a.m. Central Time, and bidding will close in consecutive lots as set forth on the auction website on November 8, 2012, beginning at 11 a.m. Central Time. Please note that BidSpotter identifies the Tin Mill auction as event number 19437.
